Intentia is owned and operated by IDR Law Limited ("IDR Law"), a company registered in England and Wales under Company Number 10930161.

IDR Law is authorised and regulated by the Solicitors Regulation Authority under SRA Number 642790.

References to "Intentia", "we", "us" and "our" in these Terms refer to IDR Law Limited operating the Intentia platform.

Acceptance of These Terms

By accessing or using Intentia, you agree to be bound by these Terms of Use. If you do not agree to these Terms, you should not use the platform.

What Intentia Does

Intentia is a guided digital platform designed to help individuals record their intentions regarding lifetime gifts, transfers of wealth and related arrangements.

Intentia uses structured questionnaires and decision logic to produce a Memorandum of Intention ("MoI") based on the information provided by the user.

Intentia is intended to assist users in recording their intentions clearly and consistently.

No Legal Advice

Intentia does not provide legal advice.

The information, questions, documents and recommendations generated through Intentia are provided for general information purposes only.

Use of Intentia does not create a solicitor-client relationship between you and IDR Law.

If your circumstances are complex, or if Intentia identifies potential risks, we may recommend that you seek advice from an appropriately qualified legal professional.

User Responsibilities

You are responsible for ensuring that all information entered into Intentia is accurate, complete and truthful.

The quality and accuracy of any Memorandum of Intention produced by Intentia depends on the information you provide.

IDR Law accepts no responsibility for inaccuracies arising from incomplete, inaccurate or misleading information submitted by users.

Memorandum of Intention

The Memorandum of Intention generated by Intentia is based solely on the information entered by the user.

Users are responsible for reviewing the document carefully before signing or sharing it.

Intentia does not guarantee that a Memorandum of Intention will prevent future disputes, litigation or challenges.

Electronic Signatures

Intentia may provide facilities for electronic signing.

By using such facilities, you acknowledge that electronic signatures may have legal effect and that you intend any electronic signature applied by you to be legally binding where permitted by law.

Third-Party Services

Intentia may provide links or introductions to third-party providers, including legal professionals, document storage providers or other professional advisers.

Any engagement with a third party is entirely separate from Intentia and IDR Law accepts no responsibility for the services provided by such third parties.

Availability

We aim to keep Intentia available at all times but do not guarantee uninterrupted access.

We may suspend, withdraw or modify any part of the platform without notice for maintenance, upgrades, security reasons or other operational requirements.

Intellectual Property

All content, software, branding, documents, questionnaires and materials within Intentia are owned by or licensed to IDR Law and are protected by intellectual property laws.

Users may use such materials solely for their personal or professional use in connection with the intended purpose of the platform.

Limitation of Liability

To the fullest extent permitted by law, IDR Law excludes liability for any loss arising from:

  • Reliance on information generated by Intentia;
  • Decisions made by users based on Intentia outputs;
  • Inaccurate information provided by users;
  • Temporary interruption or unavailability of the platform.

Nothing in these Terms excludes liability where such exclusion is prohibited by law.

Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.

Any disputes arising from the use of Intentia shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Changes to These Terms

We may amend these Terms from time to time. Updated versions will be published within the platform and on the Intentia website.
